At Legaleasy we are focused on creating easy-to-understand, plain English legal templates to help you understand your legal obligations and protect your business.

All of our templates are written by qualified lawyers and are designed specifically to protect Australian based small businesses.

We cover a wide range of topics including intellectual property, service terms and conditions, privacy, corporate governance, and business structuring. Our goal is to help you feel confident that you have the right legal contracts in place to support your business needs.

Using our website

This website is made available by Legaleasy (Aust) Pty Ltd ABN 22 642 266 886 (Legaleasy).

When we talk about ‘we’, ‘us’, or ‘our’, it means Legaleasy, including our officers, employees, successors and assigns. The words ‘you’, ‘your’ or ‘user’ refer to you, the visitor to our website and or purchaser of our products or services.

Any refence to ‘website’ means our website [insert link] and all other digital or electronic platforms (such as our social media pages), email, and other form of communication that we use.

By using our website, you are agreeing to be automatically bound by these terms and conditions, our disclaimer and privacy policy (collectively referred to as ‘terms’). To be clear, you do not need to sign our terms to be legally bound.

We encourage you to carefully read and understand our terms before using our website or making a purchase from our website. If you do not agree with any of our terms, please do not use our website and or our products.

We may update our terms from time to time and the new provisions will apply from the date they are updated. We have included a ‘last updated’ date at the top of these terms to help you keep track of any changes.

How to purchase our products?

You can browse our library for free and look for documents that suit your business needs.

Once you have identified the templates you wish to purchase, our system will offer you three different payment options to choose from. The templates you purchase will be automatically emailed to you.

Membership

To become a member of Legaleasy, you will need to create an account with us by completing our online form. We have ‘basic membership’ and ‘premium membership’ for you to choose from (please see our [insert link to Membership page] for prices and inclusions of each option).

We expect you to be at least 18 years old and provide true and accurate information when you register as a member.

After you make payment for your membership, we will provide you with access to your member portal by emailing you your login details.

You agree to pay your subscription fees in full and on time whether or not you use or access all benefits of your membership including the free resources in your member portal. It is your responsibility to make use of and obtain the maximum benefit of your membership.

Member benefits

As a member of Legaleasy, you will be able to download templates for free and have access to a range of other resources such as educational materials and checklists that we will make available in your member portal.

The number of templates you can download for free will depend on your level of membership.

We may deliver webinars from time to time to answer any questions our members have. You are required to participate at the time they are offered. There will be no refunds or discount if you are unable to attend a webinar.

The resources in your member portal do not expire. You get unlimited access to everything inside your portal for the length of your membership.

Individual components of the program are not redeemable, transferable, or interchangeable.

We reserve the right to change or remove any content from your member portal at any time without notice.

Automatic renewal

You can choose whether you want to be a monthly member or an annual member:

  • When you join monthly, payment will be automatically deducted on the same day every month.
  • When you join annually, payment will be automatically deducted on the same day every year.

By applying to become a member of Legaleasy, you authorise us to direct debit your account for automatic renewals of your membership.

Please let us know at least 7 days before the expiry of your current subscription period to stop further renewals and your membership will expire at the end of your current period.

If you wish to upgrade your membership from basic to premium and or change your subscription from monthly to annually, please email us at least 7 days before the end of your current monthly period. The change will be implemented at the start of your next monthly period at which point we will start charging you the upgraded fee.

If any payment is dishonoured for any reason, you will be liable for dishonour fees. If money owing to us remains unpaid, you will also be liable for any costs and disbursements that we incur in pursuing the debt (including legal costs on a solicitor and own client basis) and debt collection costs to the extent permissible under relevant legislation.

Suspension, termination and refund

We may suspend your membership if you are in arrears with your payments. This does not change the time frame of your membership (ie. it will still expire at the end of your original subscription period) and you will be liable to pay the full amount of your membership.

Do not share with anyone your login details. It is your responsibility to monitor who has access to your login information. If it comes to our attention that your login details are used across multiple IP addresses, we may terminate your membership without providing a refund.

If you breach any part of this agreement, we may terminate your membership without providing a refund.

Your content and data

The member portal is not designed as a backup system and should not be relied on as such. We provide no guarantee for the security of your data and will not be responsible or liable for the storage, deletion, correction, destruction, theft, damage or loss of any stored data. We encourage you to have your own regular back-up system.

If your membership is terminated, your will lose access to your member portal including any stored data.

All care, no responsibility

While all our templates are written by qualified lawyers in Australia, you acknowledge and agree that all our materials are for general informational and educational purposes only and that none of our templates, website content or other content we make available to you in whatever form (including any discussion you have with us in our webinars) constitute legal or other professional advice. Any reliance on our materials is at your own risk.

You must consult a qualified lawyer if you require legal advice. You are solely responsible for knowing when you need legal and or other professional advice and should never hold off or delay seeking such advice due to information supplied by us. Our materials are not designed with your specific circumstances in mind.

Please understand that all products we offer on our website are written with Australian based businesses in mind. If you are not based in Australia, please exercise caution before using or relying on our templates.

You are solely responsible for assessing the suitability of our materials and any use you make of it. Again, if you are in doubt as to whether our templates or other materials are suitable for your business, you should always consult a qualified lawyer.

We aim to provide you with sufficient information to help you determine which templates are suitable for your business. While every care is taken, we make no guarantees that any template you purchase from us will be suitable for your purposes or meet your expectations.

We are not responsible for any loss or damages you or any other person suffer from following or applying our materials.

While we endeavour to keep our materials up to date and correct, we make no representations as to the suitability, reliability, availability, timeliness, completeness and accuracy of our materials for any purpose. To the maximum extent permitted by applicable law, our materials are provided ‘as is’ without warranty or condition of any kind.

Any information available on or via our website may include inaccuracies or typographical errors that may relate to product descriptions, pricing and promotions. We reserve the right to correct any errors, inaccuracies or omissions, and to cancel orders if any information is inaccurate, at any time without prior notice (including after you have submitted your order).

Our website may contain links to websites operated by third parties (linked sites). The linked sites are not under our control, and we are not responsible for the contents of a linked site. We are also not responsible for any form of transmission you receive from any linked site. You should contact the relevant third party directly if you have any questions.

We make effort to maintain the security of our website, however, we do not guarantee the security of our website, member portal, systems or records of your data.

We accept no liability for any computer virus or technological problems arising from your use of our website that we do not intentionally cause or that are beyond our control. You are encouraged to install and maintain up-to-date security software on your devices.

Continuous access to our website and the member portal will be dependent on your internet connection and download speed, which is outside our control. There may also be limited times where our website and the member portal are not functioning or is malfunctioning. Please notify us if that occurs. We will not be liable for any periods that our website or member portal is not functioning or is malfunctioning.

No unlawful or prohibited use

As a condition of your use of our website and or the products on our website, you warrant and expressly agree that you will not:

  • use our website and or materials for any purpose that is unlawful, immoral, or prohibited by these terms and conditions
  • infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • engage in threatening, harassing or defamatory behaviour
  • hack into areas of our website that are not intentionally made available to you
  • use our website in any manner which could damage, disable, overburden, or impair our website or interfere with any other party’s use and enjoyment of our website
  • use the website as a lead generation tool for the benefit of your own business, or to manufacture “lists” in order to help your own business, without our prior written approval
  • collect or track the personal information of others
  • engage in any internal or external spamming, or other similar actions
  • decompile, reverse engineer, or try to copy or imitate our website or underlying content
  • upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of our website.

Testimonials

If you provide us with a testimonial, you give us your consent to use your name and photo (if supplied) with the content of your testimonial on our website and or in our marketing materials.

Intellectual Property Rights

We own all intellectual property rights in our products and website content or have permission to use and or display those materials. Your access to the member portal does not give you any ownership rights to our materials.

By purchasing our templates and or membership, we grant you a non-exclusive and limited license to use our materials for your own personal use only. You must not share, distribute or resell our materials in part or in full, or in any way exploit or allow others to exploit our intellectual property in part or in full, except as expressly authorised by us in writing.

You agree not to change or delete any copyright or proprietary notice from any of our materials.

If believe that there are materials on our website that infringes third party intellectual property rights, please contact us at support@legaleasy.com.au and provide us with sufficient information to determine who the owner of the intellectual property is. If we form the reasonable belief that there has been an infringement, we will remove it from our website. Be aware that you may be subject to liability if you knowingly make any misrepresentations when providing information to us.

Limitation of liability

We will not be liable to you or any other person for any damages whatsoever arising as a result of your use of and or reliance on our website and or products in any way, subject to Australian Consumer Law.

Where warranties are implied by law, you acknowledge and agree that our total aggregate liability for any claim(s) by you or any other person is limited at our discretion to a replacement of the product, the provision of the services again, or to a refund equal to the total amount paid by you for that product or services, even if those products or services were provided to you without cost.

This limitation of liability applies to the fullest extent permitted by law and survives any termination or expiration of these terms or your use of our website or our products.

Indemnity

You agree to indemnify and hold us harmless against any claims, damages, liabilities, costs, or expenses (including without limitation court costs, arbitration costs and legal fees on a solicitor and own client basis) related to:

  • your use of our website, products and or other materials we make available to you; and or
  • your breach of these terms.

Applicable law

This agreement is governed by the laws of Queensland, Australia. You agree to be subject to the exclusive jurisdiction and the courts of Queensland, Australia if there was a serious dispute between you and Legaleasy.

Use of this website and our materials is unauthorized in any jurisdiction that does not give effect to all provisions of our terms, including without limitation this paragraph. If you are resident in a jurisdiction where the use of this website and our materials is unauthorized, it is your responsibility to stop using this website and our materials.

Relationship

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Legaleasy as a result of this agreement or your use of our website and or the products.

Validity

If any part of these terms and conditions is determined to be invalid or unenforceable, then the invalid or unenforceable provision will be severed, and the remainder of the terms and conditions will continue in effect.

Entire agreement

These terms and conditions, our Privacy Policy, Disclaimer and any other legal notices displayed on our website or entered into with you in writing (including as amended from time to time) form the entire agreement between us and anything else discussed beforehand or afterward is not part of our agreement unless it was included.
